1. Acceptance of Terms

By accessing or using the Reppix platform ("Service"), you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Service Description

Reppix is a software-as-a-service (SaaS) platform for pharma distribution and field sales management. The Service includes route planning, order management, inventory tracking, collections processing, invoicing, commission calculation, and reporting tools. The Service is provided via web browsers and mobile applications.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. Each user account is for a single individual and may not be shared. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend accounts that violate these terms.

4. Acceptable Use

You agree not to: - Use the Service for any unlawful purpose. - Attempt to access data belonging to other tenants. - Reverse-engineer, decompile, or disassemble any part of the Service. - Upload malicious code or attempt to compromise system security. - Use the Service to transmit spam or unsolicited communications. - Resell or sublicense access to the Service without written consent. - Misrepresent GPS or attendance data.

5. Intellectual Property

The Reppix platform, including its software, design, documentation, and branding, is owned by Reppix and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations. Your data remains your property at all times.

6. Payment and Billing

Subscription fees are billed according to the plan selected during onboarding. Fees are due in advance on a monthly or annual basis as agreed. Late payments may result in service suspension after a 14-day grace period with written notice. All fees are exclusive of applicable taxes unless stated otherwise.

7. Service Availability

We target 99.5% uptime for the Reppix platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by law, Reppix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your access immediately if you breach these terms. Upon termination, your data will be available for export for 30 days. After that period, data will be deleted in accordance with our Privacy Policy and data retention obligations.

10. Governing Law

These terms are governed by the laws of the Hashemite Kingdom of Jordan. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Amman, Jordan.

11. Changes to Terms

We may modify these Terms of Use at any time. Material changes will be communicated via email and a notice on the platform at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you disagree with the changes, you may terminate your subscription before they take effect.
